Thank you for choosing to work with Positive Keyword, our ecommerce implementation consulting services. These Terms and Conditions (“Agreement”) govern the rights and obligations of both parties regarding the consulting services provided by Positive Keyword.
- Scope of Services Our ecommerce implementation consulting services include analyzing your ecommerce business requirements, suggesting improvements to your ecommerce website, configuring and setting up your ecommerce platform, and providing post-implementation support.
- Fees and Payment Terms Our fees will be based on the agreed-upon scope of work, and will be invoiced on a regular basis. Payment terms are Net 30 days. If payment is not received within 30 days, we reserve the right to suspend work until payment is received.
- Confidentiality We understand that your ecommerce business information is confidential, and we agree to protect it. All confidential information shared by you with us will be kept strictly confidential, and we will not disclose it to any third party without your written consent.
- Intellectual Property All intellectual property rights in the consulting services provided by us, including any recommendations, suggestions, reports, and other documents, are owned by Positive Keyword, and you agree to use them only for the purpose for which they were provided.
- Warranties and Disclaimers We warrant that the consulting services will be provided in a professional and workmanlike manner. However, we do not warrant that the consulting services will be error-free or uninterrupted.
- Limitation of Liability In no event shall Positive Keyword be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the consulting services provided by us, even if we have been advised of the possibility of such damages.
- Termination Either party may terminate this Agreement by giving 30 days’ written notice to the other party. If the Agreement is terminated, you agree to pay for any services provided by Positive Keyword up to the date of termination.
- Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the London Court of International Arbitration.
